These Terms and Conditions govern your use of the Matrix Software Solutions website and any consulting, implementation, advisory, integration, or related services provided by Matrix Software Solutions. By accessing our website or engaging our services, you agree to these Terms and Conditions.

Matrix Software Solutions is a consulting and software implementation company. While many client implementations may leverage the MyBusinessWorkspace platform, use of that platform is governed by its own Terms of Use, available at https://mybusinessworkspace.com/termsofuse.

1. Services

Matrix Software Solutions provides professional services that may include:

  • Business consulting and process improvement
  • Software implementation and configuration
  • Systems integration and workflow automation
  • Custom software development
  • Technical advisory, support, and related services

Specific services, deliverables, timelines, and responsibilities are typically defined in a separate proposal, statement of work, service agreement, or other written agreement between Matrix Software Solutions and the client.

2. Separate Platform Terms

If your implementation or services involve the MyBusinessWorkspace platform, your use of that platform is also subject to the MyBusinessWorkspace Terms of Use. These Terms and Conditions apply to Matrix Software Solutions as a consulting and implementation provider, while product-specific use of MyBusinessWorkspace is governed separately.

3. Client Responsibilities

Clients agree to provide timely, accurate, and complete information reasonably required for Matrix Software Solutions to perform services. Clients are also responsible for reviewing deliverables, providing approvals or feedback when needed, and maintaining appropriate internal controls over their own data, systems, and user access.

4. Fees and Payment

Fees, billing terms, and payment schedules will be defined in the applicable agreement or proposal. Unless otherwise stated in writing, invoices are due according to the agreed payment terms. Matrix Software Solutions reserves the right to suspend work or access to services for overdue accounts.

5. Intellectual Property

Unless otherwise stated in a written agreement:

  • Matrix Software Solutions retains ownership of its pre-existing materials, methodologies, frameworks, software, templates, and tools
  • Clients retain ownership of their own data, business records, and proprietary content
  • Any licensing, assignment, or transfer of custom-developed deliverables will be governed by the applicable written agreement
6. Confidentiality

Both parties agree to protect confidential or non-public information shared during the course of an engagement and to use such information only as necessary to perform or receive services, unless disclosure is required by law or authorized in writing.

7. Website Use

You agree not to use the Matrix Software Solutions website in any way that is unlawful, harmful, or intended to disrupt the operation or security of the website. You may not attempt to gain unauthorized access to systems, data, or services connected to the website.

8. Disclaimer of Warranties

Unless expressly stated in a separate written agreement, the website and services are provided on an "as is" and "as available" basis. Matrix Software Solutions does not guarantee uninterrupted website availability, error-free operation, or specific business outcomes from consulting or implementation services.

9. Limitation of Liability

To the fullest extent permitted by law, Matrix Software Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the website or services. Any direct liability shall be limited to the amount paid for the specific services giving rise to the claim, unless otherwise stated in a written agreement.

10. Third-Party Services and Links

Our website or services may reference or integrate with third-party platforms, software, tools, or websites. Matrix Software Solutions is not responsible for the content, policies, security, or performance of third-party services, except as explicitly stated in a separate written agreement.

11. Termination

Either party may terminate a service engagement as provided in the applicable agreement, proposal, or statement of work. Upon termination, the client remains responsible for payment of fees earned or incurred up to the termination date, along with any non-cancelable third-party costs or commitments where applicable.

12. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the applicable state and jurisdiction identified in the governing client agreement, or if no such agreement exists, the laws of the State of Texas, without regard to conflict of law rules.

13. Changes to These Terms

Matrix Software Solutions may update these Terms and Conditions from time to time. Updated versions will be posted on this page with a revised effective date. Continued use of the website after changes are posted constitutes acceptance of the updated Terms.
